Terms of Service
These Terms of Service ("Terms") govern access to and use of the Bitechart AI platform ("Service") provided by Bitechart AI, Inc. ("Bitechart," "we," "us"). By accessing the Service, the dental practice or organization ("Customer") agrees to be bound by these Terms.
1. The Service
Bitechart AI provides a patient-engagement platform that integrates with dental practice management systems (PMS), presents patient dental records and treatment plans, and offers AI-generated educational summaries. The Service is intended to supplement, not replace, professional clinical judgment.
2. Accounts and Authorized Users
Customer is responsible for maintaining the confidentiality of Customer credentials and for all activity that occurs under Customer's account. Customer will promptly notify Bitechart of any unauthorized use.
3. Fees and Billing
Fees for the Service are set forth in the applicable order form or on bitechart.ai/#pricing. Unless otherwise agreed in writing, the Service is billed at $199 per practice location per month following a 90-day free trial. Customer may cancel at any time; fees paid are non-refundable except as required by law.
4. Protected Health Information (PHI)
To the extent Customer transmits PHI (as defined by HIPAA) to Bitechart, the parties will execute a Business Associate Agreement (BAA) prior to production use. The BAA controls in the event of any conflict with these Terms regarding PHI.
5. Not a Diagnostic Device
Bitechart AI is not a medical device and has not been evaluated or cleared by the U.S. Food and Drug Administration. AI-generated outputs — including summaries of radiographs, treatment plans, or clinical notes — are for patient education only. All clinical diagnosis, treatment planning, and treatment decisions remain the sole responsibility of the treating licensed provider.
6. Customer Responsibilities
- Comply with all applicable dental practice laws, HIPAA, HITECH, and state privacy regulations.
- Obtain any patient consents required by law before transmitting patient data to the Service.
- Review AI-generated content before it is used in clinical decisions.
- Maintain appropriate credentials with connected PMS vendors (e.g., Henry Schein One, Carestream, Open Dental).
7. Intellectual Property
Bitechart retains all right, title, and interest in the Service, including all software, models, and derived analytics. Customer retains ownership of Customer data. Customer grants Bitechart a limited license to process Customer data as necessary to provide the Service.
8. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own confidential information, and in no event less than reasonable care.
9. Warranties and Disclaimers
Bitechart provides the Service on an "as is" and "as available" basis. To the maximum extent permitted by law, Bitechart disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Bitechart's aggregate liability under these Terms will not exceed the fees paid by Customer in the twelve (12) months preceding the claim.
11. Term and Termination
These Terms commence on the effective date and continue until terminated. Either party may terminate for material breach on 30 days' written notice if the breach is not cured. Upon termination, Bitechart will make Customer data available for export for 30 days, then delete it in accordance with applicable law and the BAA.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Exclusive jurisdiction lies in the state and federal courts located in Delaware.
13. Changes to These Terms
Bitechart may update these Terms from time to time. Material changes will be communicated to Customer at least 30 days in advance.
